Auction Sales Terms and Conditions – Maccabi Tel Aviv Basketball Club

Introduction

Maccabi Tel Aviv Basketball Club Ltd. (1995) (“Maccabi”) will occasionally hold limited-time product sales via a type of auction (“Auction”) on the Maccabi online store website (“Online Store”). Users who have registered on the Online Store and meet the requirements of these Regulations (“User”) may submit an offer to purchase products at an amount not less than the Minimum Price (as defined below), all in accordance with and subject to these Regulations.

Please note that the general terms and conditions of the Maccabi Online Store, as updated from time to time at: https://shop.maccabi.co.il/terms-and-conditions/ (“Store Terms”) also apply, with necessary modifications, to usage of the site and purchases made therein. Before registering and/or submitting an offer, you are required to carefully read these Regulations and the Store Terms.

Without limiting the generality of the above, every User participating directly or indirectly in the Auction confirms that they have read, understood, and agreed to these Regulations and the Store Terms, and that they will act accordingly.

The use of masculine language in these Regulations is for convenience only and applies to all genders. Singular terms also apply to plural, and vice versa, as applicable. Section headings are for convenience only and shall not be used for interpretation.

In the event of any contradiction or discrepancy between these Regulations and other publications relating to the Auction, these Regulations shall prevail.

1. Eligibility

Participation in the Auction is permitted only to individuals over the age of 18 (including corporations legally registered in Israel) who hold a valid credit card (Visa, Isracard, Mastercard, or American Express only) and/or a valid PayPal account, and who have registered on the Online Store with their full details (full name, mobile number, residential address, email address) (“Contact Details”).

Participation is solely for personal and private purposes and not for commercial use.

2. Auction Products and Process

The Auction will include specific products (“Eligible Products”) offered in limited quantities and for limited times, at Maccabi’s sole discretion. Maccabi reserves the right, at any stage and at its sole and absolute discretion, to add or remove Eligible Products, change the available quantities, extend or shorten the Auction duration, or cancel the Auction entirely or partially at any time without prior notice or justification, including in cases of low participation.

For each Eligible Product, Maccabi shall determine a minimum price, which is an internal and confidential price, not published and not disclosed to participants, and known solely to Maccabi (the “Minimum Price”).

Without derogating from the foregoing, Maccabi may also determine, for an Eligible Product, an additional internal threshold price, confidential and non-public, known only to Maccabi, which shall serve as a condition for approval of completion of the auction (the “Reserve Price”). It is clarified that the Reserve Price is not published to participants and is not displayed on the product page, and that even the highest bid in the auction shall not be approved and shall not be considered a winning bid if its amount is lower than the Reserve Price. If, upon conclusion of the auction, no bid meets or exceeds the Reserve Price, Maccabi may deem the auction as not completed and cancel it, all without any claim, demand, or cause of action by the participants in connection therewith.

On the webpage of the Eligible Product (the “Product Page”), participants may submit one or more bids to purchase the product within the allotted time specified on the Product Page.

Maccabi may, but is not obligated to, set a public Opening Price, which will be published on the Product Page, and Users’ bids may not be lower than this amount. It is clarified that the Opening Price is not the Minimum Price, and Maccabi is not obligated to accept a bid equal to or higher than the Opening Price. Users waive any claims or demands regarding the Opening Price.

Users are solely responsible for comparing market prices of the products (or similar products) prior to bidding. No claims regarding pricing shall be accepted.

After each bid is submitted, the Product Page will be updated with the bid amount and the bidder’s initials. Each subsequent bid must be higher than the previous one. Maccabi may set fixed increments between bids (i.e., each additional bid must exceed the previous bid by a predetermined amount).

3. Winning and Purchase Completion

At the end of the specified time (including if extended or shortened at Maccabi’s discretion), Maccabi will review the bids received. The highest bid that equals or exceeds the Minimum Price shall be accepted and deemed the winning bid. If no such bid exists, Maccabi may, at its sole discretion, accept a bid lower than the Minimum Price.

The winning User (“Winner”) will be notified using their Contact Details and will receive instructions to complete the purchase process.

The Winner may not withdraw their bid. If the Winner wishes to cancel the purchase, such cancellation shall be subject solely to the cancellation policy set forth in the Store Terms. The Winner hereby waives any claim or demand of any kind regarding their bid and/or winning status.

Without derogating from the above, if the Winner does not complete the purchase process in full — including providing valid payment details and approval of the transaction — within 24 hours from the time the winning notification was sent, Maccabi may, at its sole discretion, cancel the winning status and transfer the win to the participant who submitted the next highest bid, or alternatively cancel the Auction with respect to that product, without any claim or demand by the Winner or any other participant.

Maccabi reserves the right not to allow a participant to submit bids and/or to delay and/or cancel a User’s participation in the Auction and/or cancel a winning status for any reason it deems appropriate, including if the User violates these Regulations or any applicable law, or engages in improper or unfair conduct. In such case, the User shall not be entitled to any compensation.

4. General Provisions

In case of any questions, technical malfunction, or unforeseen issue arising during the Auction, Maccabi’s decision shall be final, and no claims or demands shall be accepted in such cases.

Promotions, discounts, vouchers, coupons, gift cards, or any other benefits—including those issued by Maccabi—do not apply to Eligible Products and may not be redeemed in connection therewith.

The User declares and undertakes to comply with all applicable laws and these Regulations. A User acting contrary to any law or these Regulations shall bear full and exclusive responsibility and shall indemnify Maccabi for any damage, loss, expense, or claim resulting therefrom.

In any matter not explicitly covered in these Regulations, the Store Terms shall apply.
